Terms of Use

1. General

1.1 Ornexi (“we”, “us”) is the brand name of an Israeli business owned by Tzvika Gershon. The websites ornexi.co.il (Hebrew) and ornexi.com (English), together “the site”, are operated by us.

1.2 These terms of use (“the terms”) govern the use of the site: browsing it, reading its content, using its tools (the project wizard, the calculator and the chat) and sending inquiries through it. Using the site indicates your agreement to the terms. If you do not agree to them, please do not use the site.

1.3 The site’s privacy policy and accessibility statement are part of the terms. Services are ordered from us under a separate written agreement (section 11). If the terms conflict with such an agreement, the agreement prevails for the services ordered under it.

1.4 The site is intended for people aged 18 and over. Anyone using the site on behalf of a business or an organization confirms that they are authorized to act on its behalf.

1.5 These terms are also published in Hebrew. If there is any discrepancy between the two versions, the Hebrew version prevails (section 17.4).

2. What the site is, and what it is not

2.1 The site presents information about the services we offer: website development, AI solutions and automation for businesses; blog articles; a glossary; and tools for your convenience: a project wizard, a calculator, a chat and contact forms.

2.2 All the content on the site is general information only. It is not professional, legal, financial or business advice, and it is not tailored to your situation. Before a business decision, we recommend consulting a suitable professional.

2.3 Nothing on the site is a binding offer to contract. The service descriptions, the examples, the prices (where shown), the summaries produced by the wizard, the estimates produced by the calculator and the chat’s replies are for your impression only. We are bound only by a written quote or agreement that we have confirmed, under the conditions stated in it.

2.4 Any price shown on the site, where shown, is a sample price and may change. A written quote states the price, how long the quote is valid, and whether VAT will be added.

2.5 “Free consultation call”: where the site offers a consultation or introductory call free of charge, this means that if such a call takes place, no fee is charged for it. It is not a commitment on our part to hold a call, or as to its timing, length or content, and it depends on our availability and discretion. The call is meant to understand your needs. It is not binding professional advice, and neither side is committed to contract by it.

3. The project wizard and the calculator

3.1 The project wizard produces a summary of your needs from the answers you selected. The summary is sent to us only when you click send. It is a starting point for a conversation, and not a quote, by you or by us.

3.2 The calculator shows a general estimate only, computed from the figures you entered and from general assumptions that are not tailored to your business. The estimate is not a forecast, not a promise of a result and not a quote, and it should not be relied on for decisions without independent verification.

3.3 We may change the questions, the assumptions and the method of calculation in these tools from time to time.

4. The AI assistant — the chat

4.1 The chat on the site is powered by a language model from Anthropic. It is not a person, and it presents itself as an AI assistant.

4.2 The chat is meant only for questions about our services and about how to contact us. It may make mistakes, leave out details or misunderstand. Its replies are not advice and do not bind us: prices, timelines and terms are set only in writing, by us (section 2.3).

4.3 The number of messages that can be sent in the chat is limited, per user and per day. The chat may be unavailable from time to time, and we may suspend or discontinue it at any time. When it is unavailable, the forms, the phone and WhatsApp keep working.

4.4 Do not write sensitive information in the chat: medical or financial information, ID numbers, passwords and the like. Do not use the chat for purposes unrelated to our services, to try to bypass its instructions or limits, or to produce offensive, misleading or unlawful content.

4.5 Every chat message is sent to the model’s provider to generate the reply, as described in the privacy policy. We do not keep a conversation in which no contact details were given.

5. Inquiries and forms

5.1 When you contact us, give correct and current details: your own, or those of someone who has allowed you to give them. Do not give another person’s details without their permission.

5.2 Sending an inquiry does not create an engagement and does not oblige us to reply or to provide a service. We try to answer every relevant inquiry promptly, during the business hours stated on the site. Business hours and response times are a target, not a commitment.

5.3 When you contact us, we may contact you about your inquiry by phone, email or WhatsApp. We will not send you advertising unless you have given separate and explicit consent, and every such message will include a simple way to unsubscribe, as the Israeli Communications Law requires.

5.4 The forms and the chat are protected by automatic mechanisms against abuse, including limits on the number of inquiries and detection of inquiries suspected to be spam. An inquiry may be refused or marked as suspected by mistake. Sending the forms may require JavaScript in your browser. If you have not received a reply within a reasonable time, contact us by phone or email.

5.5 Do not send inquiries by automated means, in unusual quantities, or with content that is not a genuine inquiry to us.

6. Prohibited use

6.1 You may not use the site in a way that is unlawful, that breaches these terms, or that harms us, other users or third parties. Without limiting the above, you may not:

• copy, collect or scrape content from the site by automated means, except for ordinary indexing by search engines under the site’s instructions;
• use bots, scripts or automated tools to send forms or chat messages, or for any other action on the site;
• try to bypass limits or protection mechanisms, break into the server or the services, scan them for vulnerabilities without our permission, or overload them;
• introduce malicious code or impair the site’s operation;
• impersonate someone else, give false details or make false representations;
• display the site or parts of it inside another site, or use the name Ornexi and our logo without permission;
• use the site and its tools for advertising, for the commercial purposes of others, or to send content unrelated to an inquiry to us.

6.2 Breaking into computer systems, disrupting them or interfering with their operation may be a criminal offence and a civil wrong, and we will act in accordance with the law.

6.3 We may restrict or block access to the site or to its tools, in whole or in part, and refuse inquiries, following prohibited use or a reasonable suspicion of it, without prior notice.

7. Intellectual property

7.1 All rights in the site and its content belong to us, or to those who have allowed us to use it: the texts, the articles, the glossary, the design, the code, the graphics, the images, the tools and the way they are arranged. The content is protected under the Israeli Copyright Law, 5768-2007, and other laws.

7.2 The name Ornexi, its Hebrew form and our logo identify our business and its services. They may not be used, nor any name or mark confusingly similar to them, without our written permission.

7.3 You may read the content, print it for personal use, share links to the site’s pages, and quote short passages under the fair-use rules of the law, with attribution and a link to the page.

7.4 Any other use, including copying, publishing, distributing, modifying, translating, creating derivative works or using the content or parts of it commercially, requires our prior written permission.

7.5 Where the site shows websites or projects we built for clients, the rights in the content of those websites and projects, including the clients’ names, marks and images, belong to the clients or to the rights holders. Showing them on the site is only an example of our work, and does not indicate an endorsement by the client or any relationship beyond the work done.

7.6 Trademarks and names of other companies mentioned on the site, including technology providers, belong to their owners, and mentioning them does not indicate sponsorship or a business relationship.

7.7 Content you give us through the forms, the wizard, the calculator or the chat remains yours. You confirm that you have the right to give it, and you allow us to use it to handle your inquiry and provide the service, under the privacy policy.

7.8 If you believe that content on the site infringes a right of yours, write to us at office@ornexi.com with details, and we will look into it and act promptly.

8. Links and third-party services

8.1 The site contains links to third-party websites and services: sources in the articles and the WhatsApp service. Those sites are not under our control. We are not responsible for their content, their availability, the accuracy of their information, their terms of use or their privacy policies, and a link is not an endorsement.

8.2 Contacting us on WhatsApp uses Meta’s service, under its terms.

8.3 The chat relies on an external provider’s service (Anthropic), and its availability and the quality of its replies also depend on that provider.

9. Availability of the site and changes to it

9.1 The site is offered as is and as available. We try to keep the site available and working, but we do not guarantee continuous availability, or that it will be free of faults or interruptions. There may be breaks for maintenance, for updates or for reasons beyond our control.

9.2 We may change the site, its content and its tools, and add, remove or discontinue them, in whole or in part, at any time and without prior notice.

10. Liability

10.1 We try to keep the information on the site correct and current, but it may contain errors, inaccuracies or information that has become outdated: prices, technologies, laws and figures change. The blog articles are accurate as of the time they were written. The decision to rely on information from the site and act on it is yours and at your own responsibility.

10.2 The chat, the calculator and the wizard are aids. They are not advice and not a substitute for professional review (sections 3 and 4).

10.3 Subject to any applicable law, we will not be liable for indirect, consequential or special damage, or for loss of profit, income, data or goodwill, arising from the use of the site, from reliance on its content or on the replies of the chat and the calculator, from the site’s unavailability, or from third-party sites and services the site links to. Our total liability in connection with the use of the site, if any is imposed, will not exceed 1,000 ILS.

10.4 The limitations in this section do not apply to damage caused intentionally, and do not detract from any right that cannot be waived under the law, including under the Israeli Consumer Protection Law, 5741-1981, and the Israeli Standard Contracts Law, 5743-1982.

10.5 The services we provide to clients, the liability for them and its limits are governed by the client agreement, not by these terms.

10.6 If you breach the terms or make prohibited use of the site, you will be liable for the damage caused to us or to a third party as a result.

11. Ordering services, consumers and cancellation

11.1 There is no online sale and no payment on the site. A service is ordered under a written agreement: a quote, an order form or a contract, which sets out the service, the price and payment terms, the dates, the warranty and the cancellation terms.

11.2 Before contracting with a consumer, especially remotely (by phone, email, WhatsApp or through the site), we will give the details the Israeli Consumer Protection Law requires: our name, business number and address, the main characteristics of the service, the price and payment terms, the delivery date and the cancellation terms, and we will provide a written document as required.

11.3 Cancellation rights under the Israeli Consumer Protection Law and its regulations, including for distance sales and continuing transactions, are not affected by these terms. A cancellation notice can be sent by email to office@ornexi.com, by phone to +972 73-737-3191 or by WhatsApp to +972 50-920-5559, and should include a name, contact details and the transaction details. Details of cancellation and of any cancellation fee, where applicable, are given in the agreement.

12. Privacy and cookies

The use of the information you give us and of technical information is governed by the privacy policy. The site does not use cookies and does not load third-party code. The only thing stored in your browser is the accessibility preferences you chose.

13. Accessibility

14. Reporting a problem, a security flaw or an infringement

14.1 Found an error, a fault or content you think is inappropriate? Write to us at office@ornexi.com.

14.2 Found a security flaw in the site? Please report it to us at the same address, responsibly, without exploiting it and without harming information or the service. We will address it promptly.

15. Changes to the terms

15.1 We may update the terms from time to time, for example following a change in the site, in its tools or in the law. The updated version will be published on this page with the date of the update, and a material change will be clearly indicated on the site.

15.2 The updated terms apply to use of the site from the date of their publication onwards. They do not change an agreement made before it.

16. Governing law and jurisdiction

16.1 The terms and the use of the site are governed exclusively by the laws of the State of Israel.

16.2 Jurisdiction in any matter concerning the terms or the use of the site is given to the competent court in Tel Aviv-Jaffa, Israel, or to the competent court at the place where our business is located when the claim is filed. This does not detract from any right that cannot be waived under the law.

16.3 Before turning to the courts, we would be glad to try to resolve any dispute directly. Contact us in the ways listed in section 18.

17. Miscellaneous

17.1 If any term is found invalid or unenforceable, the other terms remain in force, and that term will be interpreted in the way closest to its intention that the law allows.

17.2 Not enforcing a right or a term is not a waiver of it.

17.3 We may transfer our rights and obligations under the terms to whoever acquires or continues the business, subject to these terms and to the privacy policy.

17.4 The terms are also published in Hebrew, on ornexi.co.il. If there is any discrepancy between the versions, the Hebrew version prevails.
